June 2021: Advising on the Sale of Bies to Verenigd Ondernemers Fonds Humphrey Lakens and Alex Zijlstra advised the shareholders of Bies on the sale of their shares to Verenigd Ondernemers Fonds. Bies, one of the largest CNC turned and milled component suppliers in the Netherlands, supplies different types of high-end components and assembled parts to various industries. Verenigd Ondernemers Fonds, a Dutch investment firm that caters to SMBs in the manufacturing industry, believes that the acquisition will consolidate its hoped-for role as a key growth driver for Bies.

June 2021: Advising on the New Partnership between Vette & Verhaart and Craft Capital Abbas Ali Hyder, Alex Zijlstra, Humphrey Lakens and Willem-Jan van Andel advised Vette & Verhaart on a new partnership with investment company Craft Capital. Vette & Verhaart sells harvested mussels and oysters, and retails in lobsters, clams and other seafood. A subsidiary of Continental Shellfish Organisation, Vette & Verhaart sells its products to leading retailers in domestic and international markets, largely under the brand name Qualimer. The new partnership will allow the company to scale its business and strengthen its position in the market.

May 2021: Advising on the Sale of Yarden to DELA Abbas Ali Hyder, Alex Zijlstra, Koen Rutten and Stefan Holterman advised the shareholder of Yarden on the sale of their shares to DELA. Yarden is a large funeral service organization with over 100 years of experience and nearly one million members, including the insurer, the funeral service company, subsidiary organizations and participating interests. The acquisition ensures Yarden’s continuity and provides financial stability for policyholders and greater inflation protection for Yarden’s members.

April 2021: Advising on the Sale of Govers B.V. to Isero Humphrey Lakens, Abbas Ali Hyder and Shanna Derksen advised the shareholder of Govers B.V. on the sale of its shares to Isero. Govers is a renowned hardware wholesaler with several branches in Noord-Holland. The acquisition ensures Govers’ continuity and allows its customers to benefit from the competitive advantages Isero offers, such as a large network of branches, a wide and varied range of available products and a modern online environment. Isero is a subsidiary of Grafton Group plc and leader in the Dutch hardware market. The acquisition will further bolster Isero’s market position.

April 2021: Advising on the Sale of INTO Telecom & IT to Yielder Group Humphrey Lakens and Abbas Ali Hyder advised the shareholders of INTO Telecom & IT on the sale of their shares to the Yielder Group. Founded in 2002, INTO Telecom & IT is the largest provider of telecom services to business customers in the Netherlands. Through strategic business partnerships with KPN, Microsoft, T-Mobile, Vodafone, and other telecom providers, INTO delivers integrated services and solutions for telecommunications and digital workplace environments, with advanced cybersecurity protection and support. With Yielder Group as a new shareholder, INTO will be able to further expand its IT ambitions and capabilities.

March 2021: Advising on the Sale of Shunter to Alstom Humprey Lakens, Abbas Ali Hyder, Heidi Dekker and Shanna Derksen advised the shareholder of Shunter Group on the sale of its shares to French multinational Alstom. Shunter is a leading service provider in the management and maintenance of rolling stock for freight and passenger transport in the Netherlands. Headquartered in Rotterdam, Shunter employs a highly skilled team of some 110 professionals across multiple maintenance workshops and service locations. Each year, Shunter services, overhauls, and repairs more than 1,000 locomotives, rail cars and wagons. The acquisition will see Shunter incorporated into the business as part of an international group, with access to new markets and expansion opportunities.

February 2021: Advising on the Sale of Brainnet to PRO Unlimited Humphrey Lakens, Abbas Ali Hyder, Joyce Snijder and Alex Zijlstra advised the shareholder of Brainnet on the sale of its shares to US-based PRO Unlimited. Brainnet is one of the largest Management Service Providers in the Netherlands dedicated to helping organizations recruit and select interim professionals, set up hiring processes and manage all contingent workforce contracts. The acquisition offers Brainnet opportunities to strengthen its position and expand its activities in the EMEA region.

December 2020: Advising on the Sale of ippies.nl B.V. to Bonusway Cindy Hoogteijling, Stefan Holterman and Alex Zijlstra advised the shareholders of ippies.nl B.V. on the sale of their shares to Finland-based Bonusway. ippies.nl, an online loyalty platform operator since 2007, rewards consumers with loyalty points that can be applied toward future purchases at more than 2100 affiliated online stores. Besides generating a number of synergies, the transaction offers ippies.nl the opportunity to benefit from Bonusway's knowledge and dedicate its resources to expanding its market presence.

December 2020: Advising on the Sale of Culgi to Siemens Humphrey Lakens and Cindy Hoogteijling advised the shareholders of Culgi on the sale of Culgi to Siemens. Culgi develops software solutions for complex, multiscale chemistry simulations in the process industry. Culgi will join Siemens Digital Industries Software, where its technology will be incorporated into Siemens’ Xcelerator portfolio and Simcenter software.

October 2020: Advising PrivaZorg in the Acquisition of Independent Health Care Centers Abbas Ali Hyder advised PrivaZorg in the acquisition of several independent health care centers as part of the administrative merger between Fundis and PrivaZorg. As a result of the acquisition, PrivaZorg now only operates its ‘own’ health care centers.

October 2020: Advising Spar Holding on the Acquisition of Stake in The Tosti Club Group B.V. Cindy Hoogteijling advised SPAR in the acquisition of a majority stake in The Tosti Club, a popular grilled sandwich chain with eleven branches nationwide, including in Rotterdam, Breda and Nijmegen. The Tosti Club already features as an in-store sandwich bar at SPAR stores in Arnhem and Zwolle. The acquisition will significantly increase SPAR’s footprint in the food service market.

August 2020: Trigano Acquires Majority Stake in Gimeg Holding B.V.
Humphrey Lakens and Cindy Hoogteijling advised the shareholder of Gimeg on the sale of its shares to Trigano. With the investment, Gimeg aims to further expand its international market position. Gimeg is a leading full-service importer/wholesaler operating in the camping and recreation market and in the market for indoor and outdoor fireplaces.

July 2020: Sale of Shares in Popken Metaal B.V. to Van Harte Beleggingen B.V. Humphrey Lakens and Abbas Ali Hyder advised Sandridge Investments on the sale of their shares in Popken Metaal to Van Harte Beleggingen. Popken Metaal produces roll-formed steel and aluminum panels in various thicknesses and widths. Popken Metaal B.V. works for national and international companies in the finishing and construction, poultry, manufacturing, furniture, shipping, and solar sectors.

July 2020: Sale of MuConsult to Nimbus, the Shareholder of Panteia Wijn & Stael’s M&A team, led by firm partner Humphrey Lakens, advised the shareholder of MuConsult B.V. on the sale of its shares to Nimbus. Nimbus, the shareholder of Panteia, aims to forge a strategic partnership between Panteia and MuConsult. MuConsult is a research and consultancy agency specializing in passenger transport, mobility and traffic. Panteia is an internationally operating research and consultancy agency.

July 2020: Sale of Shares in Hamilton Medical Nederland to Grafimedics B.V. Humphrey Lakens and Cindy Hoogteijling advised the shareholder of Hamilton Medical Nederland on the sale of its shares to GrafiMedics B.V. Hamilton Medical Nederland is a leading distributor of high-end respiratory systems used in intensive care units, ambulances, trauma helicopters and by the military, among others. The company is the Dutch distributor of Swiss manufacturer Hamilton Medical.

June 2020: BB Capital Acquires Majority Stake in Circular IT Company Infradax Wijn&Stael's M&A team, led by firm partner Humphrey Lakens, advised the shareholders of Infradax on its sale to BB Capital. With the investment, Infradax aims to increase its market footprint in the Netherlands and Europe. Founded in 2002, Infradax is an international IT Lifecycle specialist, with a focus on circular IT services.

May 2020: Advising on the Sale of Nova Zembla Zorg to Valuas Zorggroep Humphrey Lakens and Cindy Hoogteijling advised the shareholders of Nova Zembla Zorg on its sale to Valuas Zorggroep. With the acquisition, Nova Zembla Zorg aims to further optimize the quality of care and promote positive patient outcomes.

May 2020: BB Capital Acquires Majority Stake in Cosmetique Totale B.V.
Cindy Hoogteijling advised the seller throughout the transaction. With the investment, Cosmetique Totale aims to meet the increasing demand for specialized skin treatments. Founded in 2004, Cosmetique Totale boasts ten branches in the Netherlands and operates 200 mobile locations.

April 2020: Cegeka Acquires Finavista Wijn & Stael's M&A team, led by firm partner Humphrey Lakens, advised the shareholders of Finavista on its sale to Cegeka, an IT solutions provider in Belgium and the Netherlands. Finavista delivers solutions for data migration, data governance, data quality, and data analytics.

January 2020: Advising on the Sale of paraDIGMA Groep B.V. Humphrey Lakens and Cindy Hoogteijling advised paraDigma Groep on its sale. Acquired by Mentha Capital B.V., paraDIGMA Groep is a fast-growing group of companies operating in the sustainable employability market. The Argo Advies division is an OSH unit with a unique perspective on absenteeism that is designed to lead to progressive and highly effective absenteeism and health policies in organizations. The group also offers psychological interventions, outplacement and back-to-work programs, OSH research, advice, and corporate training, among other things.

January 2020: Advising on the Sale of High Five Group Humphrey Lakens and Abbas Ali Hyder provided legal advice on the sale of the High Five group. Acquired by Sheffield-based Westfield Health, High Five is the largest provider of on-site corporate fitness and well-being services in the Netherlands, operating 54 on-site gyms for global brands such as Daimler, Shell and NATO. Originally a health insurance provider, Westfield Health has diversified into the corporate wellbeing market, opening an ever-increasing number of on-site corporate fitness and wellbeing centers. The acquisition aligns with its goal to make employees healthier.

January 2020: Sale of Shares in Robot Floor Heating to Allied Hydronics Humphrey Lakens and Abbas Ali Hyder provided legal advice on the sale of Robot Floor Heating. Papendrecht-based Robot Vloerverwarming produces high-tech distribution units and components for complete floor heating systems. The acquisition of Robot Vloerverwaring will accelerate the development of new products and solutions within the companies.

NetRom The M&A team advised the shareholders of Dutch-Romanian software developer NetRom on the sale of their shares to private equity investor IceLake Capital. With approximately €20 million in annual revenue and over 330 developers, NetRom primarily operates out of the Romanian university city of Craiova. Over the past twenty years, NetRom has grown into one of the leading software developers for Dutch software companies and corporate end-users. With the acquisition, NetRom has found a solid investor and active partner in IceLake Capital.

Bouwbedrijf Van Rooijen-Balk The M&A team advised the shareholder of Bouwbedrijf Van Rooijen-Balk on the sale of its shares to building developer VORM. Van Rooijen-Balk specializes in the construction and maintenance of facades, including all associated works such as scaffolding, positioning, adjustment, leveling, jointing and pointing. The acquisition represents VORM’s commitment to creating a fully integrated supply chain, where closer collaboration in the construction supply chain translates into efficiency gains, reduced costs of failure and elimination of unnecessary overhead costs.

Account Software Group The M&A team advised the shareholders of Account Software Group (“ASG”) on the sale of their shares to Visma Nederland. As the largest reseller of Visma software in the Netherlands, ASG offers standard and bespoke software solutions for accounting, logistics and retail. Visma Nederland is a subsidiary of the Norwegian company Visma AS. Market leader in Scandinavia, Visma provides cloud platform solutions that digitize finance, logistics processes and accounting. With the acquisition, ASG hopes to bolster Visma’s success in the Netherlands.

Foreman Capital The M&A team advised investment firm Foreman Capital in the acquisition of road construction company Van der Steen. Van der Steen is involved in the repair and maintenance of the network of roads across the Utrecht region. With the acquisition, Van der Steen hopes to gain more financial flexibility to pursue growth in the road maintenance market.

Oranje Materieel The M&A team advised the shareholders of Oranje Materieel on the sale of their shares to the Meuva group. Oranje specializes in sustainable demolition, asbestos removal, soil remediation, site preparation for new build, and sustainable recycling. The combination of technical knowledge, passion and commitment has made Oranje a leader in the industry. A position that will be further expanded through Meuva.

Anteryon The M&A team advised Anteryon on its sale to Chinese firm Jingfang Optotelectronics. Based in Eindhoven, Anteryon produces contact lenses, lasers and other optical electronic systems. Anteryon was spun off from Philips in 2006. The acquisition allows Jingfang Optotelectronics to launch large-scale production of consumer products in China. Anteryon offers Chinese firms ‘key technologies’ to develop optical electronic systems for fingerprint scanners or facial recognition in cell phones.

VLS-Group The M&A team advised VLS-Group shareholders on the sale of their shares to Broekman Logistics. VLS-Group is a leading European provider of integrated logistics and value-added services for the chemical industry. It is a subsidiary of the Israel-based Gadot Group, an Israeli market leader in the distribution of chemical products. All VLS warehousing facilities in Belgium and the Netherlands have been acquired by Broekman Logistics. The acquisition strengthens Broekman Logistics’ position as BeNeLux market leader in warehousing, distribution and added-value logistics for packaged and specialty chemicals.

Berg Groep The M&A team advised the shareholder of Berg Groep on the sale of shares to Royal Brinkman. Berg Groep develops various technologies and systems that are designed to simplify the (business) processes of its customers. Berg Groep caters to various sectors, including the greenhouse sector. Royal Brinkman is an internationally operating greenhouse supplier with branches in Europe, South America and Australia. The acquisition enables the parties to meet the increasing demand for business-specific solutions for logistics processes in the greenhouse sector.

Agglomix The M&A team advised the management of Agglomix on the buyout of Agglomix from UK-based Specialty Powders. Agglomix is the Dutch specialist in powder technology and production of pharmaceutical commodities. Based in Tilburg, Agglomix offers companies in the food and pharma industry specific knowledge and capabilities in powder processing and packaging. By creating the desired powder properties, Agglomix optimizes the process, improving the quality of the final product.

W. van den Heuvel en Zoon Infra The M&A team advised the shareholders of W. van den Heuvel en Zoon Infra on the sale of their shares to the Van Gelder Groep. Based in the greater Rotterdam area, W. van den Heuvel en Zoon Infra specializes in light rail. Van Gelder Groep expects the acquisition to increase contracting opportunities for large-scale inner-city projects.

Oudenrijn Development Consortium The M&A team advised Oudenrijn Development Consortium (a joint venture between Van Beek & Partners Vastgoedbeleggingen, Veluwezoom Verkerk Vastgoedontwikkeling and DSO Deelnemingen) on the sale of the former Oudenrijn Hospital property in Utrecht to English real estate investor Round Hill Capital and American private equity fund KKR. The property will be converted to housing for students and first-time renters.

Anton Group The M&A team advised Anton Group on the acquisition of the business operations of Front Security and Ingenieursburo De Leeuw. Anton Group offers innovative solutions for steel and concrete construction, industrial plants, rail & infrastructure, and aviation. Front Security is an architectural security firm specializing in the production and installation of roller shutters, rolling gates and scissor gates. Ingenieursburo De Leeuw specializes in interior sun protection solutions and is the supplier and fitter of Multifilm sun protection systems in the Netherlands and Belgium.

Add to Favorites The M&A team advised the shareholders of Add to Favorites on the sale of their shares to investment firm CNBB Venture Partners. Add to Favorites specializes in marketing automation. CNBB Venture Partners acquired and merged Blinker and Mailplus to create Spotler. Add to Favorites will continue to operate as an independent entity under its own name.

Van Enckevort Groep The M&A team advised the Van Enckevort family on the sale of its shares in the Van Enckevort Groep to Polvo. The Van Enckevort Groep supplies window and door hardware, building and interior fittings, tools and machinery, access control systems and workwear to contractors and housing associations, among others. Polvo, a subsidiary of the Pallieter Group, is one of the largest players in the Dutch hardware market.

Autocheck Systems The M&A team advised the shareholder of Autocheck Systems on the sale of its shares to German firm ekz.bibliotheksservice GmbH (EKZ). Autocheck Systems develops and supplies RFID system solutions for libraries in the Benelux. With five leading companies in the library / media sector, EKZ provides a host of services to libraries across Europe. EKZ develops innovative presentation materials, efficient booking technologies, library management systems and other products.

Brainnet The M&A team advised Brainnet on the acquisition of the broker operations of industry peer Novisource Contracting Services. The acquisition supports Brainnet's growth strategy and creates new opportunities for the company to strengthen its position in various sectors, including IT and Finance. The largest independent staffing specialist for professionals in the Netherlands, Brainnet spares clients the time and effort involved in organizing and managing the staffing process.

Dersimo The M&A team advised the shareholders of Dersimo on the sale of their shares to Headlam. Dersimo retails branded and private-label products. Headlam profiles itself as Europe’s largest flooring wholesaler with branches in France, Switzerland and the Netherlands. As a subsidiary of Headlam, Dersimo will continue its operations in the Netherlands from its headquarters in Maassluis.

Van den Biggelaar Groep The M&A team advised the Van den Biggelaar Groep on the acquisition of all shares in the capital of the Bunnik Groep in Nieuwerbrug. The Bunnik Groep includes A. Bunnik BV, Bunnik Materieel BV and Bunnik Milieutec BV. The companies specialize in infrastructure, environmental engineering, landscaping and dredging in north and southwest Netherlands. The acquisition will expand the scale of Van den Biggelaar Groep’s operations.

Technisch Installatiebedrijf C.A. Berger B.V. The M&A team advised the shareholder of Technisch Installatiebedrijf C.A. Berger B.V. on the sale of the shares to De van Losser Installatiegroep. Technisch Installatiebedrijf Berger specializes in the installation of electrical systems in residential and utility projects.

Anton Group The M&A team advised Anton Group (provider of innovative solutions for steel and concrete construction, industrial plants, rail & infrastructure, and airports) on the acquisition of the Loos Betongroep, a specialist in the pouring and finishing of concrete flooring for both infrastructure projects and projects in the utility market.

Rohasys The M&A team advised the shareholders of Rohasys (a specialist in the development and production of robotic solutions for automating laboratory processes) on the sale of their shares to SEAL Analytical Ltd., a subsidiary of the UK-listed Porvair Group.

BMP Benelux The M&A team advised the shareholders of BMP Benelux (a distributor of raw plastic materials in the Netherlands and Belgium) on the formation of a joint venture with Spanish firm Chemieuro, an international chemical distribution company specializing in polymers.

Polva The M&A team advised Zwaard IJzerhandel on the sale of its business operations to industry peer Polvo.

Brouwmarkt The M&A team advised the shareholder of Brouwmarkt (the largest webshop, retailer, and wholesaler that provides beer, wine, liqueur and other brewing products for commercial and home brewers in the Netherlands) on the sale of its shares to Swiss firm Evergrain International.

Penders Voetzorg The M&A team advised Penders Voetzorg (a portfolio company of investment firm Foreman Capital) on the acquisition of the shares of Cuppen Orthopedie en Voet & Winkel. Like Penders Voetzorg, Cuppen Orthopedie en Voet & Winkel specialize in orthopedic shoes and related products.

NovaDoc ECM The M&A team advised NovaDoc ECM (a service provider specializing in the implementation and management of IBM ECM software) on the incorporation of a joint venture.

Knauf Group The M&A team advised Knauf Group (an internationally operating company specializing in finishing systems and materials for new build, renovation and restoration) on the acquisition of BoWall, an innovative wall installation solution.

Cryotrainer The M&A team advised the shareholder of Cryotainer on the sale of its shares to the French multinational Air Liquide. Cryotainer is a leading player in temporary nitrogen supply for the petrochemical refining industry in the Netherlands, Germany and France.

Kettlitz Wulfse The M&A team advised the shareholders of insurance broker Kettlitz Wulfse on the sale of their shares to industry peer Vanbreda Nederland, a subsidiary of the Belgian firm Unibreda.

VRO Certification The M&A team advised the management team of VRO Certification on the management buyout. VRO Certification conducts audits and awards quality certifications based on standards such as SNA (NEN 4400) (System of National Accounts), ABU (Federation of Private Employment Agencies), NBBU (Dutch Association of Intermediary Organisations and Temporary Employment Agencies), Fair Produce, SNF (Foundation for Flexible Living Standards), PVI (Association of Dutch Poultry Processing Industries) and OSB (branch organization for the cleaning industry). It also develops new quality certifications at the request of branch organizations and market actors.

Abecon The M&A team advised the shareholders of Abecon on its sale to hosting and cloud specialist Broad Horizon. Abecon is a leading Microsoft specialist that develops, deploys and supports Microsoft business solutions.

INTO The M&A team advised INTO, the largest independently operating provider of telecom and IT services in the Netherlands, on the acquisition of industry peer Techware Telecom.

Autobedrijven ESA The M&A team advised Autobedrijven ESA on the sale of Popken Metaal, a producer and supplier of roll-formed steel panels for a variety of markets, including construction and finishing, induction, shipbuilding and poultry. The transaction involved a management buy-in, which was co-financed by the NOM (Investment and Development Company for northern Netherlands).

Tetos The M&A team advised the shareholder of Tetos, a company specializing in textile coverings for trade fairs and exhibitions, on the management buy-out.

ITM and TLC The M&A team advised the shareholders of ITM and TLC on the sale of a majority stake to investment firm Convent Capital. ITM and TLC provide laser and waterjet cutting services for sheet metal and tubes.

Koornstra & Co. The M&A team advised the Koornstra & Co fruit and vegetable export company on the formation of a strategic partnership with the German firm Weyers, a producer and supplier of fruits, vegetables and spices.

Foreman Capital The M&A team advised investment firm Foreman Capital on the acquisition of a majority stake in Penders Voetzorg and ChooseYourShoes, one of the largest Dutch players in the orthopedic footwear market.
